Please read these Terms of Service ("Terms") carefully before using the iuvareai.com website and the services offered by Iuvare AI ("we," "us," or "our"). By accessing our site or using our platform, you agree to be bound by these Terms.
1. Description of Services
Iuvare AI provides digital hospitality technology, primarily Stayfront, a branded direct booking flow and digital front desk designed for small hotels, resorts, and tourism properties in the Philippines. Our platform includes live room availability syncing, automated guest chat assistance, and an integrated dashboard for managing reservations.
2. Property Owner Responsibilities
As a hotel or property operator ("Client"), you agree to the following:
- Accuracy of Information: You are solely responsible for ensuring that your room availability, base rates, extra fees, and property descriptions are accurate within the Stayfront dashboard.
- Honoring Bookings: You agree to honor all confirmed reservations generated through the Stayfront platform.
- Policies and House Rules: You are responsible for clearly defining your own cancellation policies, check-in times, and house rules. Iuvare AI simply enforces the policies you configure in the system.
3. Payment Processing and Fees
- Third-Party Gateway: All online payments (GCash, Maya, Cards, etc.) are processed through Xendit, a BSP-regulated payment gateway. Iuvare AI is not a bank or financial institution.
- Platform and Transaction Fees: Depending on your selected plan (Performance Plan or Subscription Plan), Iuvare AI charges a platform fee and/or commission on successful bookings. Standard Xendit payment processing fees also apply to all automated online transactions. These fees are automatically deducted before settlement.
- Refunds: You are responsible for initiating any guest refunds according to your property's cancellation policy. Refunds can be processed directly from your transaction dashboard.
4. AI Assistant (Stayfront) Terms
Stayfront utilizes AI for both guest-facing inquiry handling and the internal Tenant AI Assistant (TAS).
- AI is Probabilistic: While our AI is strictly bound by your structured property rules (rates, availability, policies), natural language generation is probabilistic and may occasionally produce imperfect conversational phrasing.
- Human Handoff: You are provided with a Live Agent Dashboard to monitor guest conversations and seamlessly take over chats when a human touch is required.
- Mutation Approvals: The internal AI Setup Assistant (TAS) operates in a "read-propose" mode. It cannot change your live business settings without your explicit, typed confirmation ("Confirm"). You are responsible for reviewing any proposed changes to rates or policies before confirming them.
5. Data Processing and Subcontracting (Rule X Compliance)
As your Personal Information Processor under the Data Privacy Act, Iuvare AI agrees to:
- Process guest personal data only upon your documented instructions.
- Ensure strict confidentiality obligations are imposed on any of our authorized personnel accessing the data.
- Implement appropriate organizational, physical, and technical security measures to protect personal data against accidental, unlawful, or unauthorized destruction, alteration, or disclosure.
6. Data Breach Notification
In the event of a security incident or personal data breach that is reasonably believed to compromise sensitive personal information or enable identity fraud, Iuvare AI will notify you (the Client) and the National Privacy Commission (NPC) within seventy-two (72) hours upon knowledge of the breach, to allow you to fulfill your reporting obligations and mitigate potential harm to affected data subjects.
7. Limitation of Liability
To the fullest extent permitted by law, Iuvare AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues resulting from your use of the platform, third-party payment gateway outages, or guest disputes over hotel policies.
8. Governing Law and Compliance
These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines. In operating our platform, we adhere to all applicable Department of Trade and Industry (DTI) regulations for digital commerce, as well as the Intellectual Property Code of the Philippines.
