Please read these Terms of Service ("Terms") carefully before using the iuvareai.com website (the "Site") and the services (the "Services") offered by Iuvare AI ("we," "us," or "our").

By accessing the Site or using our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Site or Services.

1. Description of Services

Iuvare AI provides digital solutions for Micro, Small, and Medium Enterprises (MSMEs), including, but not limited to:

- Modern Web Development: Designing and building high-performance, secure websites.

- AI Chatbots (BrainBots): Deploying custom-trained AI chat assistants for websites and messaging platforms.

- Generative Engine Optimization (GEO): Optimizing a business's digital presence to improve its authority and visibility in AI-powered search results.

Specific details, fees, and deliverables for Services provided to a client ("Client") will be defined in a separate written agreement or Statement of Work (SOW).

2. User Conduct and Responsibilities

You agree not to use the Site or Services for any purpose that is unlawful or prohibited by these Terms. You agree not to:

- Interfere with or disrupt the operation of the Site or Services.

- Attempt to gain unauthorized access to any part of the Site or our systems.

- Use the AI Chatbots to transmit any unlawful, harassing, defamatory, or otherwise objectionable material.

- Provide any information to us (in a contact form or via a chatbot) that you know to be false or misleading.

3. Intellectual Property

- Our Content: All content on the Site, including text, graphics, logos, and the "Iuvare AI" and "BrainBot" trademarks, is the exclusive property of Iuvare AI or its licensors and is protected by copyright and other intellectual property laws.

- Client Content: For Clients engaging our Services, you retain ownership of all materials you provide to us. You grant us a non-exclusive, royalty-free license to use, reproduce, and modify your content solely for the purpose of providing the Services.

- Deliverables: Upon full payment for Web Development Services, the Client will typically own the final, delivered website code and design, as specified in the SOW. We may retain the right to use the project in our portfolio.

4. AI Chatbot (BrainBot) Terms

Our AI Chatbots are built on large language models. You acknowledge and agree that:

- AI is Probabilistic: The AI Chatbot's responses are generated based on patterns in data and may not always be 100% accurate, complete, or free from errors or biases.

- Data Use: User interactions with the AI Chatbot may be logged and used by Iuvare AI to monitor performance, improve the chatbot, and support our GEO Services, as described in our Privacy Policy.

- No Liability for AI Responses: We are not liable for any damages or losses arising from any errors, omissions, or objectionable content generated by the AI Chatbot.

5. Fees and Payment

Fees for our Services will be agreed upon in a separate Statement of Work or contract. All payments are due according to the terms specified in that agreement.

6. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. Iuvare AI does not warrant that:

- The Site or Services will meet your specific requirements.

- The Site will be uninterrupted, timely, secure, or error-free.

- The results obtained from the use of the Services (such as search rankings or lead generation) will be accurate, reliable, or guaranteed.

7. Limitation of Liability

To the fullest extent permitted by law, Iuvare AI, its founder, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Site or Services; (b) any conduct or content of any third party; or (c) any content obtained from the Services.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

9. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on the Site with a new "Last Updated" date. Your continued use of the Site or Services after any such change constitutes your acceptance of the new Terms.
